What law governs Swiss commercial contracts?

The Swiss Code of Obligations (OR / Obligationenrecht) is the foundational statute. Articles 1–183 cover general contract formation; specific contract types (sale, lease, employment, agency, mandate, surety) have their own dedicated articles. Cross-border contracts can opt into foreign law, subject to mandatory Swiss provisions on consumer and employment matters.

Can you advise on contracts governed by foreign law?

For pure document work (review, drafting) yes — most commercial contracts have similar mechanics across jurisdictions and we flag obvious Swiss-law mismatches. For litigation or regulatory advice in foreign jurisdictions we coordinate with local counsel and limit our scope to Swiss-law-side issues.

How long does a flat-fee contract review take?

Five working days from the time we receive the document and the brief. We deliver a redline with comments, summary of risk points, and a recommended-action checklist. Urgent turnaround (24–48 hours) is available at a 50% surcharge.

When should I move from hourly to retainer?

When recurring legal work exceeds about 8 hours per month at hourly rate (CHF 2,000+), the retainer becomes the cheaper option. It also gives priority response (24-hour acknowledgement) and includes routine document review without per-task quoting.

Is the consultation really free?

Yes — first 30-minute scoping call is at no charge. There is no obligation to engage afterwards. We deliberately keep this free so foreign founders can compare us with peers without a paywall barrier.

Do you handle litigation?

For contract disputes and ordinary civil matters yes, at CHF 250 per hour. For specialist litigation (criminal, IP enforcement, regulatory enforcement) we coordinate with referral counsel where the specialist track requires it. See /services/criminal-defense/ for white-collar criminal mandates.
