    One-page domicile agreement signed electronically. KYC checklist (UBO ID, source-of-funds for the entity).

    If you're changing the registered office of an existing company, we file the address change with the Handelsregister (CHF 200 office fee).

Frequently asked questions.

Is a Swiss registered office required for an AG or GmbH?

Yes. Article 626 of the Swiss Code of Obligations (OR) for AG and article 776 for GmbH require a registered office in Switzerland to be specified in the articles of association and entered into the Handelsregister. The address must be a real Swiss address where the company can receive correspondence.

Can my home address serve as the registered office?

Technically yes if you live in Switzerland and have permission from your landlord (or own the property). In practice many founders prefer a separate business address for credibility, mail-handling discipline and to keep their home address out of the public Handelsregister extract.

What is the difference between a registered office and a domicile?

In Swiss legal vocabulary they are interchangeable. "Registered office" is the English term for what the Handelsregister calls Sitz. "Domicile" is the older term used in some Swiss-French and operational contexts. Both refer to the legal address of the company.

Will my mail be opened?

No, not without authorisation. By default we notify you that mail has arrived and you collect it or instruct us. With the mail-forwarding add-on (+CHF 600/year) we open, scan and forward within 24 hours under a written authorisation.

Can the registered office be moved later?

Yes. Moving the registered office to a different canton requires a shareholder resolution and a Handelsregister filing in both the old and new canton. We handle this for our clients on a flat-fee basis (typically CHF 800).

Does this satisfy substance requirements for tax purposes?

A registered office alone does not create economic substance. Substance for international tax purposes requires real activity, board meetings in Switzerland, qualified personnel and decision-making in the country. Talk to us if substance is part of the structure (holding companies, FINMA-licensed entities).
